Corporate, corporate governance / M&A – Extensive experience in general corporate advice, in particular shareholders´ rights, structural modifications, including cross-border, and directors´ duties. Solid experience in corporate governance, transparency requirements, ongoing financial reporting, significant and treasury stock reporting, functioning of the shareholders meeting, market abuse (duties in possession of inside information, disclosure, insider lists, buyback and stabilisation, market soundings, closed periods, CNMV´s guides and soft law) and shareholders agreements. Advises liquidity agreements. Provides support to the Board of Directors, the Executive Committee and other Committees in the drafting of main corporate regulations, corporate governance and remuneration reports (including the drafting and review of the Internal Control System for Financial Information).

Extensive experience in public and private M&A (including cross border mergers, demergers and other structural modifications, and compulsory, voluntary and de-listing takeover bids and squeeze-out and bidding processes).

Capital markets – Equity, equity-linked and debt capital markets. In DCM, filing of debt programmes (GMTN, EMTN, ECP including STEP), stand-alone debt issues, hybrid securities (including regulatory capital), project bonds, sustainability bonds, high-yield bonds and private placements. In ECM and equity-linked, IPOs, secondary offerings, accelerated bookbuilt offerings, block trades and other special trades, rights offerings, convertible and/or exchangeable bond offerings, including CoCos, scrip dividends, dual listings, all the above listed on regulated markets or MTFs, or non-listed.

Finance – Restructuring agreements, project finance, structured finance, acquisition finance, syndicated loans and asset finance (real estate, ship), confirming and factoring agreements. Renders advice on in rem (such as pledge on listed and non-listed shares) and personal guarantees, including comfort letters, and on derivatives under ISDA or CMOF.
